Terms of Service

Effective date: October 18, 2026

These Terms of Service ("Terms") are an agreement between you and Keylight Advisory Inc, doing business as Keylight Labs ("Keylight Labs", "we", "us"). They apply to the Keylight Labs website and app (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. 1. Who can use Keylight Labs

  • You must be at least 18 years old and able to enter into a binding contract.
  • The Service is offered for use in the United States.
  • If you use the Service for a business, you confirm that you have authority to accept these Terms for that business.

2. Your account

  • Give us accurate information and keep it up to date.
  • Keep your password and sign-in codes private. You are responsible for activity under your account.
  • Tell us right away at hello@keylightlabs.com if you think someone has accessed your account without permission.
  • If you invite team members, you are responsible for who you invite and what access you give them. You can remove them at any time.

3. What Keylight Labs does, and what it doesn't

Keylight Labs helps you organize your income and expenses, see where your money goes, and estimate what to set aside for taxes. It is an information and organization tool.

  • Not professional advice. Keylight Labs does not provide tax, legal, accounting, investment or financial advice. Tax estimates, categories, reports and summaries are for general information only and may not fit your situation. Talk to a qualified professional before making decisions based on them.
  • Automated results can be wrong. Transactions are categorized automatically and may be miscategorized, incomplete or delayed. Please review your transactions and reports, and correct anything that looks off.
  • You are responsible for your own tax filings, records and financial decisions.
  • Calls with the Keylight Advisory team. If you book a call or other professional service through the Service, that service is separate from your subscription. It may have its own price and terms, which we will share with you before you book.

4. Bank connections and uploads

  • When you connect a bank or card account, we use Plaid Inc. ("Plaid"). You enter your bank login directly with Plaid. By connecting an account, you authorize us and Plaid to access your account information, and you agree to Plaid's End User Privacy Policy at plaid.com/legal.
  • We are not responsible for errors, delays or outages at your bank, Plaid or other third-party services.
  • Only connect or upload accounts and statements that you own or are authorized to use.
  • You can disconnect a bank or delete uploaded statements at any time.

5. Plans, free trial and billing

  • Free trial: new accounts get a 14-day free trial. No card is needed to start. When the trial ends, you need a paid plan to keep using the Service.
  • Plans: Essentials is $79 per month or $790 per year. Pro is $129 per month or $1,290 per year when available. Yearly plans are paid up front for 12 months. Founding member pricing is $49 per month (monthly only) for the first 50 members, for 24 months of billing. After that, founding members move to Essentials ($79 per month), or to a founder Pro rate of $99 per month for as long as they stay subscribed if they use Pro tools or accounting and sales connections, and we will tell you before the change.
  • If you cancel a founding membership, the founding price is released and can't be reclaimed later.
  • Automatic renewal: paid plans renew automatically each month and are charged to your card on file until you cancel. Payments are processed by Stripe.
  • Price changes: we may change prices. We will tell you at least 30 days in advance, and the new price applies from your next billing period after that.
  • Taxes: prices do not include any sales or similar taxes that may apply.
  • Failed payments: if a payment fails, we may limit your access until it is resolved.

6. Cancellation and refunds

  • You can cancel anytime in Settings, under Billing. Your plan stays active until the end of the period you have already paid for (the month, or the year on a yearly plan), and you won't be charged again.
  • Because every plan starts with a free trial, payments are non-refundable and we don't give refunds or credits for partial months or unused parts of a yearly plan, except where the law requires it.
  • After you cancel, you can still sign in to view your data and download your reports, or delete your account.

7. Your data

  • You own your data. We use it only to provide and improve the Service, as described in our Privacy Policy.
  • You give us permission to host, process and display your data as needed to run the Service for you.
  • You can download your reports or delete your data at any time. Deleting your account permanently removes your profile, transactions and uploaded statements, as described in our Privacy Policy.
  • If you send us feedback or suggestions, we may use them without any obligation to you.

8. Acceptable use

Please don't:

  • Use the Service for anything illegal, fraudulent or harmful, or with data you are not allowed to use.
  • Try to access other people's accounts or data, or get around our security or usage limits.
  • Copy, resell, reverse engineer or scrape the Service, or use it to build a competing product.
  • Upload viruses or anything designed to disrupt the Service.

9. Our service

  • Keylight Labs, including its software, design, name and logos, belongs to us and our licensors. These Terms give you a personal, non-transferable right to use the Service while your account is in good standing.
  • We are always improving the Service and may add, change or remove features. If we remove a major feature from your paid plan, we will tell you in advance.
  • We work hard to keep the Service available and secure, but it may sometimes be unavailable for maintenance or for reasons outside our control.

10. Ending your account

  • You can stop using the Service and delete your account at any time.
  • We may suspend or close your account if you break these Terms, don't pay, or if we need to for legal or security reasons. Where reasonable, we will tell you first and give you a chance to fix the issue or download your reports.
  • Sections that by their nature should continue (for example, sections 3, 11, 12 and 13) continue after your account ends.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that the Service will be error-free or uninterrupted, or that any tax estimate or report will be accurate or complete.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or tax penalties, arising from your use of the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim. Some places don't allow these limits, so they may not fully apply to you.

You agree to cover our reasonable losses and costs if a third party brings a claim against us because you misused the Service or broke these Terms.

13. Disputes and arbitration

Please contact us first at hello@keylightlabs.com. Most concerns can be resolved quickly that way. If we can't resolve a dispute within 30 days:

  • Binding arbitration: any dispute relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. Either of us may bring an eligible claim in small claims court instead.
  • No class actions: you and we may bring claims only individually, not as a plaintiff or class member in any class, consolidated or representative action.
  • Opt out: you can opt out of this arbitration section by emailing hello@keylightlabs.com within 30 days of first accepting these Terms.
  • Governing law: these Terms are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will tell you by email or in the app at least 30 days before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms.

15. General

  • These Terms and our Privacy Policy are the entire agreement between you and us about the Service.
  • If any part of these Terms can't be enforced, the rest stays in effect.
  • If we don't enforce a right right away, we can still enforce it later.
  • You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
